Introduction

These Terms of Service (“Terms”) govern your use of the Stak mobile application (the “App”) provided by Stak (“we,” “us,” or “our”). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By creating an account and using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Stak.

2. Eligibility

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that:

• You are at least 18 years old

• You have the legal capacity to enter into a binding agreement

• You are not prohibited from using the App under applicable law

• All information you provide is accurate and up-to-date

3. Account Registration and Security

Account Creation

To use certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Keep your password secure and confidential

• Notify us immediately of any unauthorized access or security breach

• Enable two-factor authentication and biometric security when available

• Not share your account with others

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. License and Use of the App

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal mobile device for your personal, non-commercial use.

Prohibited Uses

You agree NOT to:

• Use the App for any illegal purpose or in violation of any laws

• Attempt to gain unauthorized access to the App, servers, or systems

• Reverse engineer, decompile, or disassemble the App

• Remove, alter, or obscure any proprietary notices or labels

• Use automated scripts, bots, or scrapers to access the App

• Interfere with or disrupt the App’s functionality or security

• Impersonate any person or entity or misrepresent your affiliation

• Upload viruses, malware, or any harmful code

• Use the App to harass, abuse, or harm others

• Sell, rent, lease, or sublicense your access to the App

5. Financial Information and Bank Connections

Bank Account Integration

The App allows you to connect your bank accounts through Plaid, a third-party service provider. By connecting your bank account, you authorize us to access your account information, including:

• Account balances

• Transaction history

• Account holder information

• Routing and account numbers

Your Responsibilities

You acknowledge and agree that:

• You have the authority to provide access to your bank account information

• Plaid’s terms and privacy policy also apply to your use of bank connections

• We are not responsible for any errors or issues with bank data provided by Plaid

• You may disconnect your bank accounts at any time through the App settings

6. App Features and Services

The App provides various features including budgeting tools, spending power calculations, wishlist management, and discovery features. These features are provided for informational and organizational purposes only.

Not Financial Advice

The App does not provide financial, investment, tax, or legal advice. All budget recommendations, spending power calculations, and financial insights are for informational purposes only and should not be relied upon as professional advice. You should consult with qualified professionals regarding your specific financial situation.

7. User Content

You may be able to create, upload, or share content through the App, such as wishlist items, notes, or shared budget information (“User Content”). You retain ownership of your User Content, but by submitting it to the App, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the App.

You represent and warrant that:

• You own or have the necessary rights to the User Content

• Your User Content does not violate any third-party rights

• Your User Content does not contain illegal or harmful material

• Your User Content complies with these Terms and applicable laws

8. Intellectual Property Rights

The App and all its content, features, and functionality (including but not limited to software, text, graphics, logos, icons, images, audio clips, and software) are owned by Stak or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The App will be uninterrupted, secure, or error-free

• The App will meet your specific requirements

• The results or information obtained through the App will be accurate or reliable

• Any errors or defects will be corrected

• The App will be compatible with all devices or operating systems

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAK, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
