1. Agreement to these terms
These Terms of Service ("Terms") are a legal agreement between you and WeStak, LLC, a New Jersey limited liability company ("Stak," "we," "us," or "our"). They govern your use of the Stak mobile application, the website at trystak.com, and any related services (together, the "Service").
By downloading, installing, or using Stak, you agree to these Terms. If you do not agree, do not use the Service.
Please read Section 18 and Section 19 carefully. They limit what we are responsible for. Please also read Section 21, which explains how disputes between us get resolved and requires most disputes to go to individual arbitration rather than court.

3. Who can use Stak
To use Stak you must:
- Be at least 18 years old.
- Be a resident of the United States.
- Have the legal capacity to enter into a binding contract.
- Not be barred from using the Service under the laws of the United States or any other applicable jurisdiction.
Stak is for your personal, non-commercial use only. You may not use it on behalf of another person or business without our written permission.
If you create an account, you confirm that everything you tell us is accurate and that you will keep it up to date.
4. What Stak is, and what it is not
Stak reads information from financial accounts you choose to connect and shows you a single number called your Spending Power, along with related features including your Wishlist and Money Stories.
Stak is an informational tool. It helps you see your own money more clearly. That is all it is.
Specifically:
- Stak is not a bank. We do not hold your money. We are not a bank, credit union, or depository institution, and we are not insured by the FDIC or NCUA.
- Stak does not move money. We do not transfer funds, make payments, or act as a money transmitter.
- Stak does not lend. We do not offer loans, cash advances, buy-now-pay-later, overdraft coverage, or credit of any kind, and we do not refer you to anyone who does.
- Stak is not financial, investment, tax, legal, or accounting advice. Nothing in the app is a recommendation to spend, save, buy, or not buy anything. We are not your fiduciary, financial advisor, or broker.
- Stak is not a credit reporting agency, and nothing we show you is a credit report or credit score.
You are responsible for your own financial decisions. If you need advice, talk to a qualified professional.
5. Connecting your financial accounts
5.1 How the connection works
Stak uses Plaid Inc. ("Plaid") to connect to your bank and other financial institutions. When you connect an account, you are giving Plaid permission to access information from that account on your behalf and share it with us.
Your bank login credentials are entered into Plaid's interface. We do not receive, see, or store your bank username or password.
Your use of Plaid is governed by Plaid's own end user privacy policy and terms, which you should read. Plaid is a third party and we do not control what it does.
5.2 What you are authorizing
By connecting an account, you authorize us to access, retrieve, and use information from that account, including balances, transactions, account details, and account owner information, for the purpose of operating the Service.
You confirm that you are the owner of, or an authorized user of, every account you connect.
5.3 Accuracy is not guaranteed
The information we show you comes from your financial institutions and from Plaid. We do not control it, cannot verify it, and are not responsible for it.
Connections can break, go stale, or fail without notice. Institutions change their systems. Data can arrive late, incomplete, or wrong.
Always confirm important information directly with your financial institution before you rely on it.
5.4 Disconnecting
You can disconnect an account at any time in the app. Disconnecting stops future data collection. See our Privacy Policy for what happens to information we have already received.
6. Spending Power
Spending Power is an estimate. It is calculated from the information available to us at the time it is shown, using your connected balances, the recurring obligations we have identified, and any savings set-asides you have configured.
Spending Power is not a guarantee of available funds. It may be wrong for reasons including:
- Pending or unposted transactions.
- Holds placed by merchants or your bank.
- Transactions made from accounts you have not connected.
- Bills, transfers, or deposits we did not identify or that changed.
- Delays or errors in data from your institution or from Plaid.
- Settings you entered incorrectly.
Spending money based on your Spending Power may still result in an overdraft, a declined transaction, a returned payment, a late fee, or a missed bill. You are solely responsible for those outcomes and for any fees, interest, or penalties charged by your financial institution or anyone else.
You can review and adjust which obligations and set-asides Stak counts. It is your responsibility to keep those accurate.
7. Wishlist
Wishlist lets you save items you are thinking about buying and see how they compare against your Spending Power.
Some things to know:
- Item names, prices, images, and links may come from third-party websites. We do not control them and do not guarantee they are current or correct.
- Saving an item to your Wishlist does not reserve it, purchase it, or create any obligation on anyone's part.
- We are not affiliated with, and do not endorse, the retailers or brands whose items you save.
- Showing that an item "clears" or is affordable is an estimate based on Section 6, not a recommendation to buy it and not a promise the funds will be there.
- We do not accept payment for placement in Wishlist. No merchant pays to appear in Stak or to influence what Stak shows you.
8. Money Stories
Money Stories are short narrative summaries of activity in your connected accounts.
Money Stories describe information; they do not calculate it. They can be inaccurate, incomplete, or worded in a way that does not match your situation.
Treat Money Stories as commentary, not as a statement of account. Where a Money Story and your financial institution disagree, your financial institution is correct.
9. Your account
You are responsible for keeping your account credentials and your device secure, and for everything that happens under your account.
Tell us promptly at ahman@westak.co if you believe your account has been accessed without your permission.
10. Subscriptions and payments
10.1 Free and paid access
Some features of Stak are available at no cost. We may offer paid subscriptions ("Premium") that unlock additional features. We may change which features are free and which are paid, on notice as described in Section 23.
10.2 Billing through Apple
Paid subscriptions purchased in the iOS app are processed by Apple through your Apple Account, not by us. Your purchase is also governed by Apple's Media Services Terms and Conditions.
10.3 Auto-renewal
Subscriptions renew automatically. Payment is charged to your Apple Account at confirmation of purchase and again at the start of each renewal period, unless you cancel at least 24 hours before the end of the current period.
The price, billing period, and any free trial terms are shown to you in the app before you buy.
10.4 Cancelling
You can cancel at any time in your Apple Account settings. Cancellation takes effect at the end of the current billing period. You keep access until then.
Deleting the app does not cancel a subscription.
If you cancel a free trial before it ends, you will not be charged. If a free trial converts to a paid subscription, the trial ends immediately.
10.5 Refunds
Purchases made through Apple are subject to Apple's refund policy. We cannot issue refunds for purchases we did not process. Requests go to Apple.
Except where required by law, payments are non-refundable and we do not provide partial refunds for unused time.
10.6 Price changes
We may change subscription prices. Any change applies to future billing periods and takes effect only after notice to you and, where required, your consent, in the manner Apple provides. If you do not accept a new price, cancel before it takes effect.
11. Acceptable use
You agree not to:
- Use the Service for anything unlawful, fraudulent, or harmful.
- Connect an account you do not own or are not authorized to access.
- Copy, modify, reverse engineer, decompile, or attempt to derive the source code of the app, except where that restriction is prohibited by law.
- Scrape, crawl, or use automated tools to access or extract data from the Service.
- Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its systems.
- Resell, sublicense, or commercially exploit the Service.
- Remove or obscure any proprietary notices.
- Impersonate anyone or misrepresent your affiliation.
We may suspend or end your access if we reasonably believe you have violated this section.
12. License
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Stak app on Apple-branded devices that you own or control, as permitted by the Usage Rules in the App Store Terms of Service.
This is a license, not a sale. We keep all rights not expressly granted.
13. Our intellectual property
The Service, including the Stak name and logo, the app, its design, text, graphics, and underlying software, is owned by us or our licensors and is protected by intellectual property laws.
You may not use our trademarks without our prior written permission.
14. Your content and feedback
You keep ownership of the information you provide, including Wishlist items you save and settings you configure ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely to operate and improve the Service, consistent with our Privacy Policy.
If you send us feedback, ideas, or suggestions, we may use them without any obligation to you and without compensation.
15. Third-party services
The Service relies on third parties, including Plaid, Apple, and our hosting and infrastructure providers, and may link to third-party websites.
We are not responsible for third-party services or content, and we do not endorse them. Your dealings with third parties are between you and them.
16. Privacy
Our Privacy Policy explains what information we collect, how we use it, how we share it, and the choices you have. It is part of these Terms.
17. Suspension and termination
You can stop using Stak at any time and can request deletion of your account as described in the Privacy Policy.
We may suspend or terminate your access, with or without notice, if you violate these Terms, if we are required to by law, or if we discontinue the Service.
Sections that by their nature should survive termination will survive, including Sections 13, 14, 18, 19, 20, 21, and 22.
18. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY INFORMATION SHOWN TO YOU, INCLUDING SPENDING POWER, IS ACCURATE, COMPLETE, OR CURRENT.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
19. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
THIS INCLUDES, WITHOUT LIMITATION, OVERDRAFT FEES, NON-SUFFICIENT FUNDS FEES, LATE FEES, INTEREST CHARGES, DECLINED TRANSACTIONS, RETURNED PAYMENTS, MISSED BILLS, AND ANY OTHER COSTS ARISING FROM YOUR RELIANCE ON SPENDING POWER OR ANY OTHER INFORMATION IN THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR $100.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
20. Indemnification
You agree to indemnify and hold harmless WeStak, LLC and its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
21. Dispute resolution
21.1 Informal resolution first
Before starting a formal proceeding, contact us at ahman@westak.co with a description of the dispute. We will try to resolve it informally within 60 days.
21.2 Arbitration
If we cannot resolve it, you and we agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its consumer arbitration rules, rather than in court.
The Federal Arbitration Act governs the interpretation and enforcement of this section.
21.3 No class actions
You and we agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.
21.4 Exceptions
Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.
21.5 Opt out
You may opt out of this arbitration section by emailing ahman@westak.co within 30 days of first accepting these Terms, with your name and a statement that you are opting out. Opting out does not affect any other part of these Terms.
22. Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law rules. Subject to Section 21, the state and federal courts located in Hudson County, New Jersey will have exclusive jurisdiction.
23. Changes to these Terms
We may update these Terms. If a change is material, we will give you notice in the app, by email, or by another reasonable method before it takes effect.
Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Service.
24. Terms that apply because you got Stak from the App Store
These terms are required by Apple and apply to the iOS app.
- This agreement is with us, not Apple. These Terms are between you and WeStak, LLC only. Apple is not a party.
- Scope of license. Your license is limited to using the app on Apple-branded products that you own or control, as permitted by the App Store Terms of Service Usage Rules, except that the app may be accessed by other accounts associated with you through Family Sharing or volume purchasing.
- Maintenance and support. We are solely responsible for providing maintenance and support for the app. Apple has no obligation to provide any maintenance or support.
- Warranty. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our sole responsibility.
- Product claims. We, not Apple, are responsible for addressing any claims by you or a third party relating to the app or your use of it, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
- Intellectual property claims. In the event of a third-party claim that the app or your use of it infringes that third party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement, and discharge of that claim.
- Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Third-party terms. You must comply with applicable third-party terms of agreement when using the app.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
- Contact. Questions, complaints, or claims about the app should be directed to ahman@westak.co.
25. General
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
Severability. If any provision is held unenforceable, the rest stays in effect.
No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
Force majeure. We are not liable for delays or failures caused by events outside our reasonable control.
